Seller Representation

We provide discreet, professional representation in the sale of private companies, as well as divisions and subsidiaries of public companies. In the first phase of the selling process we develop a range of value, work with our clients to define their objectives, and explore various transaction structures that will meet those objectives.

With the goals of the transaction in place, we identify and screen potential buyers and initiate contact on a confidential basis to solicit their interest. At the same time, we prepare a detailed Confidential Information Memorandum as well as documentation to support the target valuation and proposed transaction structure. Our clients benefit from our skill and experience as we assist them in negotiating the price and terms of the transaction.

Buyer Representation

We have developed a special expertise representing individual and corporate buyers. Some clients retain us after they have identified a target company and have had preliminary discussions with the sellers. Others rely on our expertise to assist them throughout the entire acquisition process including defining viable acquisition criteria and identifying potential acquisition candidates.

In either case, we conduct a detailed financial analysis of the target company and assist in due diligence. This allows us to develop a range of value to support an offering price as well as alternative options for structuring the transaction.
